Miller / Grinding Partner Terms & Conditions

These Terms & Conditions govern the operational engagement between SmartChakkii and the appointed Miller / Chakki Partner responsible for grain cleaning, grinding, processing, and related fulfillment activities, and shall apply to all orders allocated, processed, or handled under the SmartChakkii system. By accepting grain for processing, executing assigned orders, or continuing association with SmartChakkii, the Miller acknowledges and agrees to comply strictly with all operational guidelines, quality standards, hygiene protocols, packaging instructions, turnaround timelines, inspection procedures, and performance benchmarks as may be prescribed, revised, or updated by SmartChakkii from time to time. The Miller undertakes to process only those grains and quantities officially assigned through SmartChakkii's authorized system and shall ensure that all customer grains are handled separately, without substitution, intermixing, dilution, unauthorized retention, or quality alteration, and any act of replacing customer grain, blending inferior materials, retaining excess quantity beyond natural process variation, or engaging in misrepresentation shall constitute a material breach subject to penalties, financial recovery, suspension of order allocation, or immediate termination.

The Miller shall maintain proper cleanliness of premises, ensure machinery is regularly serviced and calibrated to deliver consistent grinding texture as specified, prevent contamination through dust, moisture, foreign particles, or cross-contact, and adhere to applicable food safety norms, statutory licensing requirements, and local regulatory obligations necessary for lawful processing operations. The Miller agrees that accurate input-output quantity records shall be maintained for each batch processed, acknowledging that minor natural variations in yield may occur due to grain characteristics, but excessive unexplained shortages, repeated inconsistencies, or discrepancies identified through internal audits may trigger investigation, compensation liability, or reassessment of partnership status. Timely processing of assigned orders is essential to SmartChakkii's customer commitment framework, and repeated delays, operational negligence, uncommunicated machinery breakdowns, labor shortages, or failure to meet defined turnaround schedules may result in warning notices, financial penalties, temporary withholding of payments, reassignment of service territories, or termination of association at SmartChakkii's discretion.

The Miller shall follow prescribed packaging protocols, labeling requirements, sealing standards, and quality checks before dispatching processed products, ensuring that no product is released without meeting SmartChakkii's defined brand and service standards. All customer information, order data, pricing structures, operational methods, and system access provided by SmartChakkii shall be treated as confidential and proprietary, and the Miller shall not disclose, replicate, exploit, or utilize such information for personal business, third-party advantage, competitive activity, or direct customer solicitation. The Miller shall not approach SmartChakkii customers independently, offer competing grinding services to SmartChakkii users through parallel arrangements, misuse brand goodwill, or represent itself in a manner that creates confusion regarding brand ownership or service authorization.

SmartChakkii reserves the right to conduct periodic or surprise inspections, hygiene audits, quality sampling, quantity verification, and compliance assessments to ensure adherence to operational and brand standards, and the Miller agrees to provide full cooperation during such evaluations. Payment for processing services shall be made as per mutually agreed commercial terms and shall apply only to completed and verified orders meeting quality criteria, and SmartChakkii reserves the right to deduct or withhold amounts in case of product damage, quality complaints, verified shortages, penalties, or customer compensation obligations arising from processing lapses attributable to the Miller. SmartChakkii may revise operational procedures, commission structures, territory allocation, order volume commitments, technology systems, workflow mechanisms, or performance standards at its sole discretion in response to business requirements, regulatory updates, or service optimization strategies, and continued processing of SmartChakkii orders shall constitute acceptance of such modifications.

In no event shall SmartChakkii be liable for indirect, consequential, or business losses incurred by the Miller arising from fluctuations in order volume, operational adjustments, regulatory changes, or termination of association, and SmartChakkii's liability, if any, shall be strictly limited to undisputed dues for successfully completed and approved processing work. These Terms shall be governed by the applicable laws of India, and any disputes arising in connection with this engagement shall be subject to the exclusive jurisdiction of the competent courts located in Pune, Maharashtra. Continued participation in SmartChakkii's operational framework shall constitute acknowledgment and acceptance of these Terms in their entirety, including any amendments issued from time to time.
